Late in the quarter, the questions always arrive with the same subtext: “We need this for the board deck.”
What’s changed is the kind of questions that show up in that email. It is no longer, “How many contracts did legal review?” It is, “What is our renewal exposure in the next two quarters?” and “How concentrated are we with a single cloud provider?” and “Where have we committed to data residency?” and “Which vendors have audit rights that could become a real operational cost?”
Those questions sound like business questions. They are also contract data questions. If the underlying contract metadata is messy, the board-level answer becomes an opinion instead of a number.
That is a governance risk, more than just a legal ops inconvenience.
Boards are asking for answers that require defensible contract populations
When a board asks about renewal exposure, they are not asking for anecdotes. They are asking for a population, a timeframe, and a dollar number that finance can reconcile.
When a board asks about vendor concentration, they are asking for an inventory that is clean enough to support decisions about redundancy and exit planning. In sectors touched by financial services regulation, that direction is becoming explicit under DORA-style expectations for a register of ICT third-party arrangements, where supervisors expect contract-level details and concentration risk thinking, as described by the Austrian regulator’s DORA summary on ICT third-party risk lifecycle controls in plain terms.
Even outside DORA, the pressure is coming from disclosure and oversight norms. Under the SEC’s cyber disclosure guidance, companies must describe board oversight of cybersecurity risk and the processes used to assess and manage that risk, which drives sharper internal questions about third-party exposure and contractual controls.
The contract data elements behind those questions are not exotic. They are basic. They are also the first things to break when data quality is treated as optional.
- Renewal dates, renewal terms, and notice periods
- Termination rights and exit mechanics
- Counterparty identity that rolls up cleanly across affiliates
- Service criticality and vendor tiering
- Data residency commitments and transfer restrictions
- Audit rights, security commitments, and subcontractor controls
If you cannot define those fields consistently, you cannot credibly answer the board.
“Messy contract data” is often the result of yesterday’s shortcuts
The uncomfortable part is that the failure usually started years earlier.
It started when someone created a contract type taxonomy that mixed commercial intent with document form. It started when a counterparty was entered five different ways, and no one normalized it. It started when renewal terms were captured as free text, or not captured at all. It started when contracts were migrated into a new repository and mapped inconsistently.
WorldCC describes the scale of the problem bluntly. Their August 2025 benchmark on contract data scattered across 24 systems matches what most GCs feel at quarter end: you may have the contract somewhere, but you do not have a portfolio you can interrogate quickly.
This is why boards are increasingly unimpressed by, “We have it in the contract.” They are asking, “Can you tell me how many, which ones, and how confident you are?”
Analyst expectations are shifting toward data-driven legal functions
The board pressure is not happening in a vacuum. Analysts have been pushing legal departments toward credible metrics for years, and contract analytics sits right in the blast radius.
Gartner’s public guidance on legal metrics tied to business goals calls out that 57% of legal departments fail to connect legal metrics to business objectives, which is another way of saying that stakeholders have reason to doubt the outputs.
In Gartner’s October 2025 press release on AI and contract analytics priorities, contract analytics shows up as a GC priority and Gartner flags low confidence as a practical adoption barrier. In my world, “low confidence” usually translates to “we do not trust the data model enough to stake a board answer on it.”
That is what turns contract data quality into board-level risk. The company is trying to run governance on top of a dataset that was never designed to support governance.
Data quality is now part of digital trust
Boards are also absorbing a broader concept that used to live in IT or security: digital trust.
Deloitte defines Data and Digital Trust as confidence in a company’s digital platforms and data practices by regulators, shareholders, and users, which is essentially what a board is paid to protect. Contract commitments are one of the most consequential expressions of “data practices,” because they encode what the company said it would do about security, privacy, audit, and change control.
If the company cannot locate those commitments reliably, or cannot aggregate them without manual effort, the trust posture weakens. Boards know that. Regulators know that. Plaintiffs’ lawyers definitely know that.
Poor metadata quality breaks AI reporting in predictable ways
A lot of teams assume AI will save them from old classification mistakes. It will not.
AI reporting still depends on a defined population and stable fields. If “renewal notice days” lives in five formats, the report becomes a suggestion. If “data residency” is tagged inconsistently, the output becomes incomplete. If “critical vendor” is a subjective label with no criteria, the rollup becomes political.
That is why AI governance frameworks keep coming back to mapping, measurement, and repeatability. NIST’s AI RMF 1.0 is built around functions that require you to understand the context, measure performance, and manage risk with operational discipline. ISO’s management-system framing in ISO/IEC 42001 talks about traceability and reliability, which is hard to deliver when the underlying contract dataset is inconsistent.
Even if you use a platform feature like AI Reporting that is designed for structured, repeatable outputs, the quality ceiling is still your metadata quality ceiling.
AI does not solve data governance. It makes the absence of data governance visible.
What it looks like when a GC has to answer in real time
Here is the practical failure mode I see most often.
A board member asks a sensible question: “How many key vendors can terminate for convenience with short notice?” Everyone agrees that is a real risk. The answer should be a number and a list.
If you cannot produce that quickly, you end up triaging by memory. You call procurement. Someone sends a spreadsheet. You sample. You caveat. You downgrade confidence. Now you have turned a governance question into a scramble.
The real issue is not that the contracts are hard to read. The issue is that the portfolio was never structured to support portfolio questions.
What “good” looks like in a board-grade contract dataset
A board-grade contract dataset has three characteristics.
Clear definitions that do not drift
Contract types, lifecycle states, renewal logic, and counterparty identity are defined in a way that stays stable over time. When definitions change, there is change control.

Data capture that is designed, not hoped for
In day-to-day work, I prefer Concord because I can design data capture into the workflow, not bolt it on afterward. I use Smart Fields to collect key variables inside the document and I mark specific fields as required when the information is non-negotiable for reporting, like renewal notice days or data hosting region.
For higher-risk deals, I route approvals based on those same variables. Concord’s conditional approvals let me tie approval steps to Smart Field values, so “high spend” or “sensitive data” paths are enforced by workflow logic, not by memory.
That is the difference between a system of record and a shared drive.
Audit evidence that supports governance questions
When the board asks, “Who approved that deviation?” the correct answer is a timestamped record, not a reconstruction.

How to move from messy to board-grade without boiling the ocean
Most teams cannot pause contracting to rebuild the dataset. The move has to be incremental and prioritized.
- Start with ten board questions. Make them concrete, like renewal exposure by quarter, top vendor concentration, and data residency by region. Tie each question to a small set of fields.
- Define a data dictionary that leadership will accept. If finance will not accept your definition of “renewal exposure,” fix that before you fix anything else.
- Normalize counterparties and contract types first. If you cannot roll up vendors, you cannot talk about concentration risk with a straight face.
- Backfill in tiers, starting with the contracts that move the board metrics. Use the 80/20 logic: top revenue, top spend, critical infrastructure vendors, and regulated data flows.
- Put governance around changes. The fastest way to destroy data quality is to let every team invent a new category because it feels right in the moment.
Contract data quality used to be a legal ops hygiene topic. Now it is an input into board oversight, regulatory readiness, and AI-enabled reporting. If the dataset is weak, the company’s governance posture is weaker than leadership thinks.
The board is already asking the questions. The only variable left is whether legal can answer them with defensible numbers, or with late-quarter caveats.
