AI governance used to live in a familiar box. IT owned the tools. Security owned the controls. Compliance owned the policies. Legal showed up at the end to approve language.

That model is breaking. Not because governance got trendy, but because the work moved. The highest-leverage AI risks are now created, allocated, and monitored through contracts.

The fastest way to see it is to look at where “AI” enters the company. It is rarely a single internal build. It is a feature upgrade in a SaaS renewal. It is a vendor adding an embedded model to a workflow. It is a business unit buying an “AI copilot” that quietly changes how data gets processed.

Those are contract events. Contract operations touches them first. Contract operations also touches them last, when the renewal comes due and someone asks whether the vendor is still allowed to do what the contract now permits.

Governance frameworks are pointing at the same surface area

When people cite frameworks, they often treat them like a shelf item. You claim alignment and move on.

The more useful read is operational. The NIST AI Risk Management Framework treats governance as a system that has to run across the lifecycle, not as a wrapper document. That is the same shift legal ops teams have been living through for years in privacy and security contracting.

The ISACA COBIT AI governance white paper lands in a similar place, framing AI as something that belongs inside enterprise governance controls instead of outside them. That framing matters because enterprise controls have owners, and those owners live in operational functions.

Then the frameworks get very practical. The NIST Generative AI Profile includes drafting and maintaining contracts and SLAs as governance actions for GenAI use. That is not an abstract recommendation. It is an explicit call to use contracting as control design.

Once you accept that, “AI governance” becomes less about who chairs the steering committee and more about whether your contracting system can express the controls you think you have.

Third-party AI risk turns governance into a contracting exercise

Most companies do not have one AI system. They have a portfolio of vendors and internal tools that include models, embedded features, and outsourced processing.

Even if you are not selling into the EU, the compliance gravity is real. 1) Vendor AI disclosures that are contract-grade

Questionnaires are not enough. They die in inboxes and slide decks. The disclosure needs to be a contractual representation tied to remedies.

  • What human oversight exists in the vendor workflow, and what is automated.

2) Audit and monitoring rights that match how AI changes

Traditional audit clauses assume static systems. AI systems drift. Vendors ship silent model updates. Outputs change without a release note that a legal team will ever see.

This is the part many governance programs miss. They think governance is owned by a committee. In practice, governance is owned by systems that enforce process.

CLM is one of those systems. It is where intake data is captured, where clause variants are controlled, where approvals create an audit trail, and where obligations get tracked to renewal.

A practical operating model for contract ops teams

If you want a governance program that survives contact with real procurement and legal work, build it like a contracting program.
